1. General Scope

These Terms apply to all products, including standard filaments and OEM/ODM customized solutions, unless otherwise agreed in writing.

2. Orders and Acceptance

• All purchase orders submitted by the Buyer are subject to acceptance by the Seller. A binding agreement is formed upon issuance of a Proforma Invoice (PI) or written confirmation.
• Once production has commenced, orders—especially OEM/customized orders—cannot be canceled without covering all incurred costs.

3. Pricing and Currency

• All prices are quoted in USD unless otherwise specified.
• Prices are typically based on EXW or FOB terms and exclude shipping, insurance, taxes, and import duties.
• Prices may fluctuate due to raw material cost changes but are fixed once the PI is confirmed.

4. Payment Terms

4.1 Sample and Small Orders

100% payment is required before shipment.

4.2 Bulk and OEM Orders

• A deposit (typically 30%) is required to initiate production.
  The remaining balance must be paid before shipment.
• We may provide photos/videos or support third-party inspection before final payment.
• Late payments may be subject to reasonable interest in line with international commercial practices.

5. Production and OEM Terms

• Production will follow confirmed samples or specifications.
• Any changes must be agreed in writing and may affect cost and lead time.

6. Shipping and Delivery

• Delivery terms follow Incoterms® 2020 (EXW, FOB, CIF, DDP as agreed).
• Lead times are estimates and may be affected by production schedules, logistics, or external factors.
• Risk transfers to the Buyer in accordance with the agreed Incoterm.
• If the Buyer fails to take delivery without valid reason, the Seller reserves the right to store, resell, or dispose of the goods, and any resulting costs shall be borne by the Buyer.

7. Inspection and Claims

• The Buyer shall inspect goods within a reasonable time after receipt (typically 7–14 days).
• Any claims must be submitted in writing with supporting evidence (photos/videos).
• For verified quality issues, the Seller may offer replacement or partial refund at its discretion.

8. Third-Party Inspection

The Buyer may appoint a third-party inspection agency (e.g., SGS, BV).
If inspection is waived or not conducted on time, goods shall be deemed accepted.

9. Intellectual Property

• The Buyer retains ownership of provided trademarks, logos, and designs.
• The Buyer warrants that such materials do not infringe any third-party rights and shall bear full responsibility for any related claims.
• The Seller retains all rights to its proprietary materials, formulations, and production processes.

10. Confidentiality

Both parties agree to keep all commercial and technical information confidential and not disclose it to any third party without prior written consent.

11. Force Majeure

Neither party shall be liable for failure or delay due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, or logistics disruptions.

12. Limitation of Liability

The Seller shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or business opportunities.

13. Product Disclaimer (Important)

Due to the nature of 3D printing materials, performance may vary depending on printer settings, environment, and user operation.

The Seller does not guarantee specific printing results under all conditions.

14. Governing Law

These Terms shall be governed by the laws of the People’s Republic of China.
Any disputes shall be resolved through friendly negotiation or submitted to a competent court in China.
